Private Concierge Service Terms
These Private Concierge Service Terms (“Concierge Terms”) govern concierge, messenger, shopping, procurement, pickup, delivery, personal-property transportation, and related services offered by Virgin Islands Exotics, LLC (“VI Exotics,” “we,” “us,” or “our”) through viexotics.com or related communications.
The Private Concierge Service is an operating service of Virgin Islands Exotics, LLC and is separate from VI Exotics product sales and product-access transactions.
By submitting a concierge request, approving a request or quote, paying a concierge invoice, providing property for transportation, or accepting performance of a concierge service, you agree to these Concierge Terms.
If you do not agree to these Concierge Terms, you should not use the Private Concierge Service.
ABOUT THE PRIVATE CONCIERGE SERVICE
The Private Concierge Service provides request-based messenger, shopping, procurement, pickup, delivery, and related assistance for approved lawful requests.
Depending on availability and the circumstances, requests may involve:

Everyday essentials
-
Beach-day needs
-
Forgotten essentials
-
Store purchases
-
Restaurant pickups
-
Hotel and villa deliveries
-
Multiple-store or multiple-stop runs
-
Personal belongings
-
Alcohol requests subject to the requirements below

Other lawful custom requests approved by VI Exotics
The service is intentionally request-based.
A product, store, merchant, service, destination, or request does not need to appear publicly on viexotics.com in order to be considered.
Not every request will be accepted.
LEGAL ENTITY & SERVICE IDENTITY
The Private Concierge Service is provided by Virgin Islands Exotics, LLC.
The use of “Private Concierge,” “Concierge Service,” “we,” “us,” or similar language in connection with the service refers to Virgin Islands Exotics, LLC unless expressly stated otherwise.
The Private Concierge Service may later be offered, marketed, or operated under another lawful brand or registered trade name without changing the underlying contracting entity unless customers are expressly notified otherwise.
CUSTOMER ELIGIBILITY
Customers entering into a paid ordinary concierge transaction must be at least 18 years old and legally capable of entering into the applicable transaction.
VI Exotics applies a stricter 21+ company standard to alcohol requests and may apply the same 21+ minimum to other age-restricted requests.
Additional eligibility requirements may apply based on the requested product, merchant, destination, fulfillment method, applicable law, or VI Exotics compliance standards.
REQUEST FIRST
Customers must communicate what they need before fulfillment begins.
VI Exotics may request information including:

Submitting a message or request does not guarantee acceptance.
VI Exotics may confirm the request, merchant, price, number of stops, delivery area, timing, availability, age requirements, and other relevant details before issuing an invoice.
NO AUTOMATIC ACCEPTANCE
A conversation, message, access request, estimate, price discussion, availability statement, or other communication does not by itself obligate VI Exotics to perform a concierge service.

VI Exotics compliance standards
Unless expressly stated otherwise, a paid concierge transaction is accepted when VI Exotics confirms the request and receives successful payment of the applicable Square invoice.
Even after payment, fulfillment may be modified, delayed, or cancelled when reasonably necessary because of availability, pricing changes, merchant issues, failed verification, legal requirements, safety concerns, or another condition addressed by these Concierge Terms.
LIMITED PURCHASING AUTHORIZATION
When a confirmed concierge request requires VI Exotics to obtain merchandise from a third-party merchant, the customer authorizes VI Exotics to act solely for the limited purpose of purchasing or collecting the approved merchandise as part of that specific concierge request.
This limited authorization:

Does not create a general agency relationship

Does not permit VI Exotics to make unrelated commitments on the customer's behalf

Does not authorize undisclosed purchases

Ends when the applicable request has been completed, cancelled, or otherwise resolved
The customer remains responsible for ensuring that the requested purchase and intended receipt or use are lawful.

Private Concierge requests are individually reviewed and priced.

VI Exotics may provide an estimate or confirmed amount before payment.
A quote applies only to the request and circumstances for which it was provided.
Material changes to the request may require revised pricing.
NUMBER OF STOPS
Concierge service charges may be based in whole or in part on the number of stops required.
A “stop” generally means a separate store, restaurant, merchant, pickup location, return location, or other destination VI Exotics must visit as part of the requested run.
Additional stops requested after the original run is confirmed may require additional payment.
A return visit to a merchant or location may constitute another stop.
VI Exotics may use fixed stop-based pricing, individually quoted pricing, or another disclosed pricing method.
SQUARE INVOICES & ELECTRONIC PAYMENT
All Private Concierge payments are processed electronically through Square using a custom invoice issued by VI Exotics after the request has been reviewed and confirmed.
Private Concierge payments are not handled as cash transactions.
The Square invoice may include amounts relating to:

Taxes where applicable

Other disclosed charges
Customers should review the invoice before paying it.
Amounts relating to merchandise, service, delivery, additional stops, or other charges may be separately identified or otherwise clearly disclosed where reasonably appropriate.
Payment authorizes VI Exotics to proceed with the confirmed request, subject to these Concierge Terms.

VI Exotics compliance review
Square is a third-party payment processor and is not the provider of the Private Concierge Service.
Square, card issuers, banks, and other payment participants may separately apply their own terms, security procedures, processing timelines, and dispute procedures.
THIRD-PARTY MERCHANDISE AMOUNTS
Where VI Exotics purchases merchandise from a third-party merchant as part of a concierge request, the applicable merchandise amount is associated with the customer's approved third-party purchase.
VI Exotics may retain merchant receipts, electronic purchase records, or other documentation supporting the underlying purchase.
Where reasonably available, relevant receipt information may be provided to the customer.
A merchant receipt and the VI Exotics Square invoice serve different purposes.
The merchant documentation relates to the underlying third-party purchase.
The Square invoice documents the customer's Private Concierge transaction and applicable concierge-related charges.
THIRD-PARTY MERCHANTS
Stores, restaurants, retailers, manufacturers, hotels, and other third-party businesses involved in a request are independent businesses unless expressly stated otherwise.
VI Exotics does not control their:

Inventory

Prices
-
Promotions
-
Hours
-
Product quality
-
Manufacturing
-
Food preparation
-
Warranties
-
Return policies
-
Staffing
-
Security
-
Technology
-
Other independent operations
Unless expressly stated otherwise, VI Exotics is not the manufacturer or producer of merchandise obtained from an independent merchant.
VI Exotics remains responsible for its own concierge service to the extent required by applicable law.
MERCHANT AVAILABILITY & PRICE CHANGES
VI Exotics may confirm prices before invoicing where reasonably practical.
Third-party inventory, prices, promotions, taxes, and availability may nevertheless change.
If an item becomes unavailable, VI Exotics may:

Contact the customer
-
Request substitution approval
-
Omit the item
-
Adjust the invoice or transaction
-
Refund an applicable amount
-
Cancel the affected part of the request
-
Provide another reasonable resolution
If the actual merchant price materially exceeds the confirmed amount, VI Exotics may seek customer approval before purchasing the item.
VI Exotics is not required to purchase a materially more expensive item without approval.
SUBSTITUTIONS
VI Exotics will not intentionally make a materially different substitution without customer approval where approval can reasonably be obtained.
Customers may provide substitution instructions in advance.
If an item is unavailable and the customer cannot be reached, VI Exotics may omit the unavailable item rather than purchase an unapproved alternative.
ALCOHOL REQUESTS
Virgin Islands Exotics, LLC provides the Private Concierge Service pursuant to its applicable messenger and delivery business operations.
Where accepted, an alcohol request must involve alcoholic beverages obtained from an appropriately licensed third-party alcohol retailer.
VI Exotics does not maintain alcohol inventory for Private Concierge requests.
Alcohol is purchased only in connection with a specific customer-confirmed request.
VI Exotics does not use the Private Concierge Service to offer alcohol from its own inventory or represent itself as the originating retail liquor store.
The underlying alcohol must be obtained through an appropriately licensed retailer before it is transported or delivered as part of the concierge request.
VI Exotics applies a 21+ minimum company policy to all alcohol requests.
The purchaser and recipient may be required to satisfactorily complete age and identity verification.
VI Exotics may refuse, delay, modify, or cancel an alcohol request where:

The alcohol cannot be obtained from an appropriately licensed retailer

The customer or recipient is under 21 under VI Exotics policy
-
Required identification cannot be provided
-
Identification does not reasonably correspond to the recipient
-
Identification appears altered, fraudulent, counterfeit, or otherwise unreliable
-
Required verification is refused
-
VI Exotics reasonably suspects the request is being made for an ineligible person
-
The retailer cannot or will not complete the applicable purchase
-
The requested transaction would violate applicable law
-
Delivery or release would conflict with applicable licensing, retailer, property, or compliance requirements
Payment does not require VI Exotics to purchase, deliver, or release alcohol when applicable verification, retailer, legal, licensing, or compliance requirements cannot be satisfactorily completed.
NO ALCOHOL INVENTORY
VI Exotics does not stock, warehouse, maintain, or hold an inventory of alcoholic beverages for sale through the Private Concierge Service.
An alcohol request must be tied to an individual customer request and purchase from an appropriately licensed retailer.
Unused alcohol from one customer request is not treated as concierge inventory for future customers.
AGE & IDENTITY VERIFICATION
VI Exotics may require valid government-issued photo identification or another reasonable verification method for age-restricted requests.
Successful payment or prior verification does not guarantee release.
VI Exotics may require verification again at delivery or handoff.
A product will not be released when required verification cannot be satisfactorily completed.
VI Exotics may use stricter verification standards than the minimum otherwise required by law.
OTHER AGE-RESTRICTED REQUESTS
Other lawful age-restricted products may be subject to additional:

VI Exotics may decline any age-restricted request that cannot be completed to our satisfaction.
PROHIBITED & RESTRICTED REQUESTS
VI Exotics may refuse a request that we reasonably determine is:

Illegal

Unsafe
-
Fraudulent
-
Outside our licensed or authorized activities
-
Prohibited by a merchant
-
Prohibited by a property or destination
-
Intended to circumvent a restriction
-
Impractical to safely transport
-
Hazardous
-
Inconsistent with VI Exotics compliance standards
-
Otherwise inappropriate for the Private Concierge Service
Customers may not use the service to obtain contraband, stolen property, unlawful weapons, prohibited substances, or other items that VI Exotics may not lawfully transport or provide.
SEPARATE FROM VI EXOTICS PRODUCT TRANSACTIONS
Private Concierge transactions and VI Exotics product transactions are separate transactions.
The Private Concierge Service is not a payment method, ordering method, delivery workaround, or alternative compliance process for VI Exotics cannabis products.
Payment of a Private Concierge Square invoice does not constitute:

Payment for a VI Exotics product

Credit toward a VI Exotics product transaction

Approval to purchase a VI Exotics product
-
Acceptance of a VI Exotics product transaction
-
Waiver of any VI Exotics product-compliance requirement
Likewise, payment for a separate VI Exotics product transaction does not pay for or automatically authorize a Private Concierge request.
Separate VI Exotics product transactions remain governed by the applicable VI Exotics product policies.
DELIVERY AREAS
Private Concierge delivery is available only to destinations accepted by VI Exotics.

The existence of service in one location does not guarantee service in every location.
HOTELS RESORTS VILLAS & OTHER PROPERTIES
Customers are responsible for complying with rules established by hotels, resorts, villas, vacation rentals, gated properties, marinas, beaches, businesses, venues, or other third-party properties.
VI Exotics does not control their:

Guest policies

Security rules
-
Delivery procedures
-
Parking requirements
-
Access restrictions
-
Front-desk procedures
-
Property rules
Where VI Exotics cannot enter a property, the customer may be required to meet at an appropriate permitted location.
VI Exotics will not knowingly violate property restrictions in order to complete a delivery.
CUSTOMER AVAILABILITY & 10-MINUTE WAIT
Customers and recipients should be reasonably available at the confirmed delivery location.
Unless VI Exotics expressly agrees otherwise, VI Exotics may allow a reasonable wait period of up to 10 minutes after arrival and reasonable efforts to contact the customer or recipient.
If the customer or eligible recipient does not appear within that period, the delivery may be treated as unsuccessful.

Pickup, shopping, arrival, and delivery times are estimates unless expressly guaranteed in writing.

CHANGES AFTER CONFIRMATION
Customer-requested changes may require:

VI Exotics is not required to accept changes after performance has begun.
CUSTOMER CANCELLATIONS
Customers should request cancellation as soon as possible.
A request may generally be cancelled before VI Exotics has materially begun performing the service or incurred non-recoverable costs.
Once work has materially begun, amounts associated with services actually performed or reasonable costs already incurred may be non-refundable where permitted by applicable law.
Costs may include:

Nothing in this section authorizes VI Exotics to retain an amount that applicable law requires to be refunded.
CANCELLATIONS BY VI EXOTICS
VI Exotics may decline, delay, modify, suspend, or cancel a request because of:

Other circumstances making fulfillment unsafe, unlawful, unavailable, or impractical
Amounts relating to goods or services that will not be provided will generally be refunded or adjusted where appropriate, subject to applicable law and reasonable costs already incurred.
RETURNS EXCHANGES & THIRD-PARTY PRODUCT DEFECTS
Returns, exchanges, warranties, and product defects involving merchandise obtained from a third-party merchant may be governed by that merchant's or manufacturer's policies.
VI Exotics does not guarantee that a merchant or manufacturer will approve a:

Replacement
If a customer asks VI Exotics to make another trip for a return or exchange, the additional trip may constitute a new concierge service and may require an additional stop, travel, service, or delivery fee.
Where the additional trip is required solely because of a material error caused by VI Exotics, an additional service charge may be waived where appropriate.
FOOD & PERISHABLE PRODUCTS
Restaurants, grocery stores, food manufacturers, and other third parties are responsible for their independent food preparation and product operations.
VI Exotics generally provides pickup and delivery rather than food preparation.
Food and perishable products may be affected by temperature, preparation times, transportation, delay, and customer storage.
Customers with serious food allergies or dietary restrictions should verify ingredients directly with the applicable food provider where appropriate.
PERSONAL BELONGINGS
Where approved, VI Exotics may transport customer-owned personal belongings.
Customers must accurately describe property provided for transportation.
Unless VI Exotics expressly approves another value in writing before accepting the item, the maximum declared value accepted for personal-property transportation is $500 per request.
Customers should not provide:

Irreplaceable documents

Jewelry or luxury items exceeding the approved value

Hazardous materials

Contraband
-
Unlawful weapons

Stolen property

Property they are not legally authorized to possess or transfer
VI Exotics may refuse any personal-property request.
The declared-value limitation does not eliminate liability or legal rights that cannot lawfully be limited.
CUSTOMER AUTHORITY OVER PROPERTY
By providing property to VI Exotics for transportation, the customer represents that they lawfully possess the property or otherwise have authority to direct its transportation.
VI Exotics may reasonably rely on the customer's description unless circumstances indicate further review is appropriate.
VI Exotics may refuse property that appears unlawful, stolen, hazardous, materially misrepresented, or otherwise inappropriate.
DRIVER & SERVICE SAFETY
Safety takes priority over completing a request.
Customers may not:

Threaten or harass a concierge representative

Demand unsafe driving
-
Demand illegal parking
-
Require unauthorized property entry
-
Interfere with safe vehicle operation
-
Conceal hazardous or illegal items
-
Request unlawful activity
-
Create an unreasonable safety risk
VI Exotics may immediately terminate a request where reasonably necessary to protect safety.
CUSTOMER INFORMATION
Customers must provide materially accurate information concerning:

VI Exotics may rely on information provided by the customer unless we have reason to believe it is inaccurate, incomplete, misleading, or fraudulent.
FRAUD & ABUSE
Customers may not knowingly:

Use stolen payment information

Misrepresent identity

Provide false delivery information

Fabricate refund claims
-
Manipulate merchandise to create a false claim

Initiate a fraudulent chargeback

Circumvent age requirements
-
Circumvent merchant restrictions

Circumvent applicable legal restrictions

Otherwise misuse the service
VI Exotics may refuse service or restrict future access when fraud or material abuse is reasonably suspected.
CHARGEBACKS & PAYMENT DISPUTES
Nothing in these Concierge Terms prevents customers from exercising legitimate payment-dispute rights.
Customers may not knowingly submit false or materially misleading information in connection with a chargeback or payment dispute.
VI Exotics may provide Square, payment networks, banks, card issuers, or other authorized parties with information reasonably necessary to respond to a dispute.

PRIVACY

Other operational functions
VI Exotics does not control every independent third party's systems, policies, outages, security, or business decisions.
NO GENERAL AGENCY PARTNERSHIP OR JOINT VENTURE
Except for the limited purchasing authorization associated with an individual confirmed concierge request, nothing in these Concierge Terms creates a general agency relationship between the customer and VI Exotics.

A customer has no authority to bind Virgin Islands Exotics, LLC.
EVENTS OUTSIDE OUR REASONABLE CONTROL
To the fullest extent permitted by applicable law, VI Exotics is not responsible for delay or inability to perform caused by circumstances outside our reasonable control.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VI Exotics does not guarantee:

Exact delivery times

Suitability of third-party merchandise for a particular purpose

Uninterrupted availability of the Private Concierge Service
Nothing in these Concierge Terms excludes warranties, remedies, consumer protections, or other rights that cannot lawfully be excluded.
LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Virgin Islands Exotics, LLC and its owners, employees, agents, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the Private Concierge Service where such damages may lawfully be excluded.
To the fullest extent permitted by applicable law, VI Exotics is not responsible for losses resulting from:

Materially inaccurate customer instructions

Customer fraud

Unlawful customer conduct

Third-party merchant acts or omissions

Third-party product defects

Customer violation of hotel or property rules

Improper use or storage of merchandise after delivery

Customer-directed transportation of prohibited property

Events outside VI Exotics' reasonable control
Nothing in these Concierge Terms excludes or limits liability, duties, warranties, remedies, or consumer protections that cannot lawfully be excluded or limited.
INDEMNIFICATION
To the extent permitted by applicable law, the customer agrees to indemnify and hold harmless Virgin Islands Exotics, LLC, together with its owners, employees, agents, and representatives, from third-party claims, liabilities, damages, losses, judgments, and reasonable expenses arising from:

The customer's unlawful use of the Private Concierge Service

A material violation of these Concierge Terms

Fraudulent or materially misleading customer information
-
Customer-directed transportation of property the customer was not authorized to possess or transfer
-
Intentional circumvention of applicable restrictions

Violation of another person's rights
This provision does not require indemnification where prohibited or unenforceable under applicable law.
CONSUMER RIGHTS
Nothing in these Concierge Terms eliminates, restricts, or requires a customer to waive a consumer right, refund right, warranty, remedy, or other protection that cannot lawfully be waived.
Where applicable law provides greater mandatory protection, applicable law controls.
COMPLIANCE TAKES PRIORITY
VI Exotics operates the Private Concierge Service subject to applicable licensing, payment, merchant, transportation, age-verification, consumer-protection, safety, and other legal requirements.
VI Exotics may maintain internal requirements more restrictive than minimum legal requirements.
VI Exotics may request additional information, documentation, verification, merchant confirmation, or another compliance measure when reasonably necessary.
No requested item, completed payment, customer preference, delivery deadline, or concierge request takes priority over lawful and responsible fulfillment.

GOVERNING LAW
To the extent permitted by applicable law, these Concierge Terms and disputes arising from the Private Concierge Service are governed by the laws applicable in the United States Virgin Islands, without regard to conflict-of-law principles.
Mandatory consumer rights and requirements that cannot lawfully be waived remain unaffected.
DISPUTE RESOLUTION
Customers are encouraged to contact VI Exotics regarding concerns so we have a reasonable opportunity to investigate and resolve the matter.
Contacting VI Exotics is not a prerequisite to exercising a legal right where such a requirement would be prohibited.
No arbitration requirement, class-action waiver, jury-trial waiver, or mandatory forum-selection clause is created by these Concierge Terms unless separately and validly established.
SEVERABILITY
If any provision is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent legally permissible where appropriate, and the remaining provisions will continue in effect.
NO WAIVER
Failure or delay by VI Exotics in enforcing a provision on one occasion does not waive the right to enforce that provision or another provision later.

The availability of a service, merchant, price, or procedure at one time does not guarantee continued availability.
